A letter of credit does not replace checks on the property, seller and agreement, or guarantee the legal safety of the entire purchase.

When buying an office, three processes need to fit together: registration of the transfer of title, payment and physical handover of the premises. They do not always happen simultaneously. This guide explains the mechanism, questions about the payment conditions, a comparison of settlement methods and an educational example for a corporate buyer in Russia. It is not a recommendation of a particular banking product.

The cover is a conceptual illustration of transaction settlement, not a real banking document or confirmation of the terms for selling F-375.

How a letter of credit works in simple terms

Imagine a buyer and seller trying to manage their respective risks. The buyer does not want to hand over the full price without the agreed result. The seller wants to know that payment has been arranged and does not depend solely on the buyer’s subsequent willingness to pay. A letter of credit allows settlement to be built around documents defined in advance.

The buyer approaches the bank, agrees the terms and arranges for the letter of credit to be opened. The seller presents the specified package. The bank examines the documents within the applicable rules and terms. If they comply, the letter of credit is honoured, for example through a cashless payment to the beneficiary. The procedure depends on the chosen arrangement and bank, not just the instrument’s general name.

Russian property discussions often call this “release” of the letter of credit. In practical conversation, it means proceeding to payment once the stipulated conditions have been met. The important question is not the label but the substance: exactly what the bank must receive, who presents it and which information will be sufficient.

Who is involved in settlement?

The payer is normally the buyer and the beneficiary is the seller. The issuing bank opens the letter of credit on the payer’s instructions. The executing bank carries out the stipulated actions to honour it. One bank may perform both roles, but that is not compulsory for every transaction.

Participant

Their role

What to check

Buyer

Agree the settlement arrangements and instruct the bank.

Which obligations arise when the instrument is opened and funds are provided.

Seller

Present the documents specified in the terms.

Where, in which format and by what point they must be presented.

Issuing bank

Open the letter of credit on the accepted terms and perform its settlement role.

Whether it serves the relevant customer category and property type.

Executing bank

Examine the presentation and honour the instrument when its conditions are satisfied.

Whether it is also the issuing bank and how documents are exchanged.

If a legal entity is buying the office, do not automatically follow instructions for a private individual buying a flat. Product availability, customer checks, the signatory’s authority and company documents need to be established with the appropriate banking team before the final transaction terms are signed.

A letter of credit, a loan and a mortgage are different things

A loan concerns where the buyer obtains financing. A mortgage concerns security over property. A letter of credit concerns how settlement with the beneficiary is arranged. The purchase may use the buyer’s own funds, borrowed funds or a combination, but that does not make the payment mechanism identical in every case.

A letter of credit should not be called a bank guarantee in the legal sense either. These instruments structure obligations differently. The phrase “the bank guarantees” in a marketing explanation does not mean that the bank vouches for the office’s condition, the seller’s behaviour and every future consequence of the sale and purchase agreement.

Before the discussion, describe the task without banking terminology: the company is acquiring identified premises, and the money should be paid after a specific, documentable result. The bank and transaction advisers can then help establish whether that sequence can be expressed through an available product.

Which terms need agreeing before opening?

Writing “payment by letter of credit” in the agreement is not enough. A workable arrangement requires agreement on the amount, payer, beneficiary, participating banks, type of instrument, method of honouring, expiry and document requirements. It is also important to establish who presents the documents and what happens if the terms need amending.

The payment provisions in the purchase agreement and the banking documents must describe compatible sequences. If the parties expect payment after physical handover of the office, but the accepted banking terms require only a registration document, a gap arises between the expected stages. A general statement about the instrument’s safety will not remove it.

Discuss charges separately: opening, amendment, honouring, extension and other operations under the bank’s applicable terms. A zero fee advertised for one service does not make every letter of credit free for every company. The broader agreement is discussed in the guide to the sale and purchase agreement for non-residential premises.

Documents for payment: precision matters more than volume

The document list is prepared for the particular transaction and agreed with the bank. It is not a universal folder shared by flat purchases, office suites and acquisitions of several properties from different sellers. A register extract, for example, may be used to confirm specified information, but its type, contents and acceptable format need defining in advance.

Establish how the property is identified, which registered-right information is required and which restrictions are incompatible with the agreed result. The phrase “a document from Rosreestr” may not explain what is actually needed. Equally, do not turn an article’s checklist into ready-made banking wording yourself: the bank must confirm that the arrangement can be implemented.

Check whether the documents cover every property included in the purchase.

Match the parties’ details and payment beneficiary to the agreed transaction structure.

Establish the requirements for an original, electronic format, signature and method of presentation.

Distinguish registration of the transfer of title from acceptance of a registration application: these are different results.

Find out who obtains the documents and whether they can present them within the stipulated period.

For an explanation of property-register documents, read the separate guide to types of EGRN extract. Having the right document in the overall transaction package does not itself mean that it complies with the payment conditions of the chosen letter of credit.

What do “covered” and “irrevocable” mean?

These words describe different aspects of the instrument, not two mutually exclusive alternatives. Coverage concerns the arrangement of funds between the participating banks. With a covered, or deposited, letter of credit, the issuing bank places the cover at the executing bank’s disposal in the stipulated manner. That does not mean that the seller can already use the money freely.

Revocability concerns the possibility of cancelling or amending the instrument. For an irrevocable letter of credit, the applicable consent rules involving the beneficiary and other participants matter. A buyer should not assume that they can unilaterally recover the funds whenever they change their mind about buying the office.

Other characteristics also need establishing for the particular arrangement, including the involvement of a confirming bank if envisaged. Buyers do not need to select the longest list of terminology: they need to understand the consequences of each term, product availability and the process if the transaction changes.

How an office purchase using a letter of credit proceeds

Identify the property and participants. Establish the properties being acquired, the seller, buyer and people signing the documents.

Check whether the banking arrangement is available. Confirm the customer category, property type, corporate documents and availability of the chosen settlement method.

Agree the purchase contract and letter-of-credit terms together. Compare the amount, required payment result, documents, time limits and actions in case of discrepancies.

Arrange opening and funding of the settlement. Obtain the confirmations required by the chosen arrangement; do not substitute the other party’s promise for them.

Complete registration and other agreed actions. Monitor the outcome, not just submission of an application or booking an appointment.

Present the documents and check completion. Establish that the bank received the required package, settlement was completed and outstanding handover obligations have not been forgotten.

This is an organisational sequence, not a mandatory instruction for every bank. A mortgage, several sellers, staged handover or particular documentation requirements may make the arrangement more complex. Agree it before the participants start performing incompatible obligations.

What if registration is delayed or the documents do not comply?

The expiry of the letter of credit and the document presentation period must be part of the negotiations. A registration delay, application correction or need for a new document may require further action. Applying to Rosreestr does not automatically extend the banking terms.

If the bank finds discrepancies, first establish what does not comply: the document’s contents, details, format, package or presentation timing. Not every query means that the purchase has definitively failed. Equally, assuming that “the bank will understand what we meant” is not a way to resolve the problem.

Extension, amendment, withdrawal of a presentation and closure follow the applicable procedure. Establish in advance the availability of a refund, its timing and any consent requirements. A promise that the full amount will be refunded immediately after any setback is too broad: the type of instrument, its terms and actual circumstances matter.

Letter of credit, transfer, safe deposit box or escrow?

No instrument is automatically better than the others for every purchase. First establish the transaction sequence, participants and the result that must precede payment. Then compare the available terms, not just the name or opening charge.

Method

How money is transferred

Main question

Ordinary bank transfer

Money is transferred under a payment instruction; the transfer format itself does not create letter-of-credit conditions.

How is payment timed against registration and handover?

Letter of credit

The bank honours its stipulated undertaking against a complying presentation of documents.

Do the documentary conditions match the result the parties expect?

Safe deposit box

Physical safekeeping is used, with agreed conditions governing access to the box.

Which duties concerning the contents, cash checks and access does the bank actually accept?

Escrow account

Funds are held for transfer on the stipulated grounds under the applicable escrow arrangement.

Is the arrangement available for this transaction, and what exactly is checked before payment?

Do not automatically transfer the escrow procedure for buying a home under construction to a secondary-market office purchase. Similarly, safe deposit box terms for private individuals do not become a suitable corporate arrangement merely because the price is attractive. Establish the applicability of each option separately.

What a letter of credit does not check for the buyer

A documentary settlement mechanism is not a full review of a property’s legal history. The seller’s authority, scope of the property, encumbrances and other transaction risks require separate analysis. A bank may provide additional services, but their scope must be established separately rather than inferred from the words “letter of credit”.

The fit-out, condition of building services, access to the premises and handover of keys and equipment are not automatically checked by the bank either. If payment is tied to a particular handover document, understand its implications: a signed certificate does not always mean that every defect has actually been resolved.

To separate these tasks, use the guides to checking commercial property before purchase and the handover certificate for non-residential premises. A letter of credit helps organise settlement but does not remove those stages.

Educational example: the payment document is ready, but access comes later

Imagine a company buying an office with some equipment. In this illustrative arrangement, agreed by the participants with the bank, the payment documents include a handover certificate. The parties sign it, and the presentation complies with the accepted banking terms. The bank makes the payment. This is an assumption for the example, not a universal document list: whether a certificate can be used and what it must contain need agreeing for the particular transaction.

However, the parties have agreed to deliver the keys separately, building management is still processing staff passes and an equipment check is scheduled for another meeting. This does not, by itself, prove a banking error or an inaccurate certificate: the document may record an agreed stage while organisational actions remain separate. The company has nevertheless not yet received the full practical outcome it expected.

Before signing documents, the buyer needs to understand exactly what the certificate establishes, which obligations remain after payment and who will check their performance. If the parties expected a different sequence, they must agree it in the contract and banking terms beforehand. They cannot expect the bank to equate a documentary package with delivery of every key and item of equipment. This is a fictional situation, not the sale terms for F-375.

Separate the documentary result from the outstanding practical question. This table helps discuss specific stages without treating each document as evidence of the entire transaction.

Scenario

What the document establishes

The remaining question

The certificate is signed.

The parties have recorded the circumstances stated in it in writing.

Does it cover all keys, access and outstanding actions?

Payment confirmation is available.

Information about the payment operation within the document’s scope.

Has physical handover of the premises been completed?

Title is registered.

The corresponding registered-right information.

How and when does the company obtain working access to the building?

Equipment is listed in an appendix.

The agreed list according to that appendix’s contents.

Have its presence, condition and technical-document handover been checked?

A corporate checklist: who is responsible for each stage?

Check separately who can actually issue the chosen evidence. In the example, building management processes passes, and staff access may depend on an application from the buyer itself. Making that result a payment condition without understanding how it is obtained may create a sequence that is difficult to fulfil. This is a question for advance discussion, not a recommendation to include passes in every letter of credit.

In a corporate purchase, the finance team, lawyer, director and seller’s representative may all communicate with the bank. Risk arises when each sees only their part: the lawyer approved the agreement, the accountant received the payment details, but the person who must obtain a payment document does not know it. Bring the participants together around one version of the settlement plan.

Assign responsibility for obtaining the registration result and for monitoring banking deadlines if duties are divided among different employees. Record who presents documents, receives discrepancy notices and has authority to agree amendments on the company’s behalf. This is an organisational checklist, not a universal statutory list of participants.

Ask for the working sequence to be explained backwards: the seller has received the money — which banking action preceded that, which package was presented and who prepared it? Then test an adverse scenario: a required document is not obtained in time. It should be clear who contacts the bank, which terms still apply and which process for resolving the issue has been agreed in advance.

Once settlement is completed, retain not just the payment confirmation but also the accepted terms, agreed amendments and documents relating to honouring. Record separately whether physical handover is complete and whether obligations remain concerning equipment, documentation or defects. Payment should not become an internal signal that “everything is finished” when that is not true.

A terms summary for discussion with the bank: bring the information together so that participants check one sequence rather than different versions of correspondence.

Payer, beneficiary and property: who is involved and exactly what is being paid for.

Result before payment: which event is expected and which document is proposed to establish it.

Presentation: who obtains the document, where they send it to the bank and in which format.

Timing and setbacks: expiry, presentation period, the contact for delays and the process for agreeing amendments.

After payment: which actions concerning keys, access, equipment and documents remain, and who monitors them.

This is a working summary, not ready-made legal wording or a promise that the bank will accept any proposed document. Confirm the terms and their compatibility with the contract with the bank and transaction advisers before opening. If the required sequence is unavailable, the participants discuss changing it rather than rely on assumed capabilities of a standard product.

Frequently asked questions about letters of credit for property purchases

What is a letter of credit for a property purchase in simple terms?

It is a cashless settlement method: the bank undertakes to pay the beneficiary against documents complying with the letter of credit’s terms. Those terms are agreed beforehand. The mechanism helps link payment to a documentary result but does not replace checks on the property, seller and agreement.

Is a letter of credit a loan for buying an office?

No. A loan concerns financing; a letter of credit concerns settlement arrangements. The buyer may use their own or borrowed funds under an agreed arrangement. Opening the instrument does not itself mean that the bank approved a loan or assessed the office’s investment merits.

Which documents are needed for payment under a letter of credit?

The list depends on the bank’s terms and the particular transaction. Agree which documents establish the required result, which properties they concern, their format and presentation procedure. A general phrase such as “registration documents” does not replace an agreed list and its requirements.

Will the bank automatically pay immediately after registration?

That depends on the product and accepted terms. An automatic service offered by one bank does not make every arrangement automatic. Establish beforehand who obtains registration information, who presents documents and what is required for your particular letter of credit to be honoured.

Can a Russian limited liability company use a letter of credit as buyer?

Confirm availability with the chosen bank for the particular customer category and transaction. Instructions for a private individual buying a flat may not suit a company acquiring non-residential premises. Establish the representative’s authority, corporate documents, property and available settlement terms.

Does a letter of credit guarantee the property’s legal safety?

No. Documentary settlement does not replace checks on the property, seller and participants’ authority. The bank acts within its accepted obligations and terms. The office’s physical condition, handover and other legal risks need separate checks even when payment uses a letter of credit.

Can the money always be refunded immediately if the purchase fails?

Do not assume a universal immediate refund. The procedure depends on the type and terms of the instrument, the stage reached and circumstances. Before opening, establish the actions for registration delays, expiry, transaction changes and closure, including any required consents.

Which is better value: a letter of credit, safe deposit box or escrow?

There is no universal answer. Compare applicability, payment or access conditions, documents, the bank’s duties and total charges. A corporate buyer particularly needs to confirm availability for its legal-entity status and chosen property rather than rely on advertising for a different service.

A brief conclusion for office buyers

A well-prepared letter of credit connects the purchase agreement, banking terms and payment documents. Before opening, check the property, participants, required result, presentation period and actions for discrepancies. Do not confuse settlement with financing, title checks or physical acceptance of the premises.

If you are considering a headquarters to own in Moscow City, the F-375 website presents an office penthouse for sale and the option to arrange a viewing. The settlement method and terms of a particular transaction are discussed separately. F-375 is not a bank, financial intermediary or letter-of-credit arrangement service.

This article is for information only.
